The method of structuring a partnership when some partners do not have wealth

Q: A business plan has been drawn up for a company wherein there are two partners sharing 50 percent each but they have no capital to start. A third party is keen on investing 100 percent of the capital into the business and he also understands that all the risks are borne by him alone. The two partners will be running the business and attending to the day to day activities of the business while the investor will merely advise and assist with decisions and the future planning of the business.

1. Can you explain the Shari’ah compliant way to structure this partnership?

2. How should the drawings of the three partners be structured?

3. The investor will invest for a short-term period of three years. At the termination of the period, what will be the correct way of settling?

A:

1. The investor can loan the other two partners a certain amount from the capital. For example, if he wishes to invest one million rand, he should invest R500 000 and loan R250 000 to each partner, totalling R500 000 for both. Thereafter, the debt of the two partners could be paid from the profits that will come out from the partnership.

2. The drawings could be according to mutual arrangement e.g. thirty percent of the profits will be drawn and twenty percent reinvested. This is merely an example. If you wish, you may draw all the profits without reinvesting.

3. According to the method we have explained above, this investment no longer remains one single person’s investment. Hence, each person will share the profits in accordance to the share agreement, and share the loss in proportion to the capital invested, whether at the end of the agreed term or before the term. If the investor wishes to exit the partnership at this point, he may sell his share to the remaining partners with mutual agreement.

قال وأما شركة العنان فتنعقد على الوكالة دون الكفالة وهي أن يشترك اثنان في نوع بر أو طعام او يشتركان في عموم التجارات ولا يذكران الكفالة وانعاقده على الوكالة لتحقق مقصودة كما بيناه ولا تنعقد على الكفالة لأن اللفظ مشتت من الأعراض يقال عن له أي عرض وهذا لا ينبىء عن الكفالة وحكم التصرف لا يثبت بخلاف مقتضى اللفظ ويصح التفاضل في المال للحاجة إليه وليس من قضية اللفظ المساواة ويصح أن يتساويا في المال ويتفاضلا في الربح وقال زفر والشافعي رحمهما الله لا تجوز لأن التفاضل فيه يؤدي إلى ربح مالم يضمن فإن المال إذا كان نصفين والربح أثلاثا فصاحب الزيادة يستحقها بلا ضمان إذ الضمان بقدر رأس المال ولأن الشركة عندهما في الربح للشركة في الأصل ولهذا يشترطان الخلط فصار ربح المال بمنزلة نماء الأعيان فيستحق بقدر الملك في الأصل ولنا قوله صلى الله عليه وسلم الربح على ما شرطا والوضيعة على قدر المالين ولم يفصل ولأن الربح كما يستحق بالمال يستحق بالعمل كما في المضاربة وقد يكون أحدهما أحذق وأهدى وأكثر عملا وأقوى فلا يرضى بالمساواة فمست الحاجة إلى التفاضل بخلاف اشتراط جميع الربح لأحدهما لأنه يخرج العقد به من الشركة ومن المضاربة أيضا إلى قرض باشتراطه للعامل أو إلى بضاعة باشتراطه لرب المال وهذا العقد يشبه المضاربة من حيث إنه يعمل في مال الشريك ويشبه الشركة اسما وعملا فإنهما يعملان فعملنا بشبه المضاربة وقلنا يصح اشتراط الربح من غير ضمان ويشبه الشركة حتى لا تبطل باشتراط العمل عليها (الهداية 2/ 629-630)

مطلب اشتراط الربح متفاوتا صحيح بخلاف اشتراط الخسران  تنبيه ويندب الإشهاد عليها وذكر محمد كيفية كتابتهم فقال هذا ما اشترك عليه فلان وفلان اشتراكا على تقوى الله تعالى وأداء الأمانة ثم يبين قدر رأس مال كل منهما ويقول ذلك كله في أيهما يشتريان به ويبيعان جميعا وشتى ويعمل كل منهما برأيه ويبيع بالنقد والنسيئة وهذا وإن ملكه كل بمطلق عقد الشركة إلا أن بعض العلماء يقول لا يملكه إلا بالتصريح به ثم يقول فما كان من ربح فهو بينهما على قدر رؤوس أموالهما وما كان من وضيعة أو تبعة فكذلك ولا خلاف أن اشتراط الوضيعة بخلاف قدر رأس المال باطل واشتراط الربح متفاوتا عندنا صحيح فيما سيذكر فإن اشترطا التفاوت فيه كتباه كذلك ويكتب التاريخ كي لا يدعي أحدهما لنفسه حقا فيما اشتراه الآخر قبل التاريخ (رد المحتار 4/ 305)
